DPDP Data Audit (SDF)

Independent Data Auditor, DPIA & SDF Obligations under the DPDP Rules 2025

The DPDP Rules 2025 make Significant Data Fiduciaries appoint an independent data auditor, complete a Data Protection Impact Assessment and an audit once every twelve months, and keep an India-resident DPO reporting to the board. Praxis-Q performs the DPIA, the annual independent data audit and the pre-notification readiness assessment so you have evidence before the Board asks for it.

Praxis-Q delivers the independent data audit and Data Protection Impact Assessment that the Digital Personal Data Protection Rules, 2025 require of Significant Data Fiduciaries, and the readiness assessment every large Indian data fiduciary should complete before the 18-month transition ends on 13 May 2027. The Rules were notified on 14 November 2025 with phased commencement: the Data Protection Board first, then consent-manager and notice obligations, then the full set of fiduciary duties and penalties of up to ₹250 crore. An SDF must appoint an India-resident Data Protection Officer who reports to the board, engage an independent data auditor, and have a DPIA and an audit completed at least once every twelve months with outcomes reported to the Board. Praxis-Q scopes your processing, performs the DPIA, tests consent, notice, retention, security safeguards and breach handling against the Act and Rules, and issues the audit report in the form the Board expects. We keep advisory and audit separated so the audit stays independent.

The Problem

Once notified as a Significant Data Fiduciary you must have a DPIA and an independent data audit done every twelve months and reported to the Data Protection Board. Most Indian enterprises have no audit trail, no DPIA and no one qualified to sign.

What You Get

 • Independent data audit in the form the Rules expect
 • DPIA covering purpose, risk, mitigation and residual risk
 • SDF readiness: are you likely to be notified, and what changes if you are
 • DPO and board reporting lines set up correctly
 • Verification of consent, notice and retention records before legacy-data revalidation
 • Algorithmic and processing-risk review for profiling and automated decisions
 • Processor and vendor DPA review (ties into TPRM)

Why weeks, not months

AI-assisted evidence review, one client portal

Every DPDP Audit engagement runs on the Praxis-Q compliance platform. You upload evidence per control, AI scores it against the requirement, and your auditor reviews in the same workflow — from scoping through to the issued, publicly verifiable certificate.

AI evidence scoring

Every upload is scored against the control before an auditor sees it — gaps surface in minutes, not at the review meeting.

One client portal

Scoping, evidence, auditor queries and status live in one place. No email chains, no spreadsheet trackers.

Auditor sign-off

Praxis-Q auditors review inside the same workflow, so review rounds shrink and the certificate issues sooner.

What the DPDP Rules 2025 require of Significant Data Fiduciaries

Rule 13 of the DPDP Rules 2025 adds obligations on top of the Act for any fiduciary the Central Government notifies as significant: a Data Protection Officer based in India reporting to the board, an independent data auditor, a Data Protection Impact Assessment and an audit at least once in every period of twelve months, verification that algorithmic software used for processing does not pose risks to data principals, and compliance with any restriction on cross-border transfer of specified personal data. Notification is the Government's call, made on the volume and sensitivity of personal data, risk of harm to data principals, impact on sovereignty and public order, and similar factors. Large consumer platforms, banks and insurers, healthtech, edtech, telecom and any business profiling millions of Indians should assume they are candidates.

Independent data audit: what we test

The audit tests the Act's core duties as they actually operate: lawful basis and consent records (including legacy data collected before the Rules), notices in English or a Scheduled language on request, purpose limitation and data minimisation, retention and erasure timelines, reasonable security safeguards (encryption, access control, logging and monitoring, backups), personal-data breach detection and the 72-hour reporting path to the Board and affected principals, data-principal rights handling, processor contracts, children's data and verifiable parental consent where applicable, and the DPO and grievance function. Findings are rated, mapped to the Act and Rules clause by clause, and paired with a remediation plan.

Data Protection Impact Assessment (DPIA)

The DPIA records each significant processing activity, the purposes and the categories of data principals, the risks to their rights, the measures that manage those risks and the residual risk the board accepts. Praxis-Q runs the DPIA as a workshop-plus-evidence exercise with product, engineering, legal and security, so the output is a living register rather than a one-off document. The same register feeds the twelve-month audit and shortens every subsequent cycle.

Timeline: why readiness work starts now

The Rules commenced in phases from their notification on 14 November 2025, with the complete set of obligations and the Board's penalty powers taking effect at the end of the 18-month transition on 13 May 2027. Legacy consent and notice records collected before the Rules must stand up to scrutiny before then, and the first audit cycle for notified SDFs falls inside that window. An organisation that waits for its notification will be doing its DPIA, its audit, its DPO appointment and its remediation at the same time, under a twelve-month clock.

How this fits with your other programmes

Praxis-Q maps DPDP controls onto what you already run. ISO 27001 Annex A and SOC 2 security criteria cover most of the reasonable-security-safeguard duty; our Third-Party Risk Management programme covers processor obligations; sector regulators (RBI, SEBI, IRDAI) add their own data-protection expectations that the audit reconciles rather than duplicates. The outcome is one evidence set, not three.

Frequently Asked Questions

Who is a Significant Data Fiduciary?
The Central Government notifies SDFs based on the volume and sensitivity of personal data processed, risk to data principals, and public-interest factors. You cannot self-declare; you can only be ready. Praxis-Q tells you how likely notification is and what it would require.
Can Praxis-Q act as our independent data auditor?
Yes. The Rules require an independent data auditor to carry out the audit and the DPIA at least once every twelve months and report the outcomes. Praxis-Q performs both and separates readiness advisory from the audit itself so independence is preserved.
Is the DPDP data audit mandatory for every company?
No. The Act applies to every data fiduciary, but the independent data audit and DPIA every twelve months are obligations of Significant Data Fiduciaries notified by the Central Government. Every other fiduciary still has to meet the Act's duties and is wise to audit itself before the May 2027 deadline, but the formal SDF audit applies on notification.
What qualifies an independent data auditor?
The Rules require the auditor to be independent of the processing being audited. There is no empanelment scheme yet. Praxis-Q keeps its readiness advisory and its audit teams separate and documents that separation in the engagement letter so the report stands up as independent.
How is this different from your DPDP compliance service?
DPDP compliance builds the programme: gap assessment, privacy framework, DPO advisory, policies and consent architecture. The data audit is the independent check on that programme, with the DPIA and the twelve-month audit report the Rules require of SDFs. Most clients start with compliance and move to the audit once the programme is running; SDF candidates run both in parallel.
Do you cover the DPO requirement?
We help you appoint and brief an India-resident DPO with a board reporting line, define the grievance process and the public contact point, and set the DPO's reporting pack. We do not act as your DPO; the role must sit with your organisation.
What is the penalty exposure?
The Act provides penalties of up to ₹250 crore per instance for failure to take reasonable security safeguards, with lower caps for breach-notification failures, children's-data breaches and SDF obligations. The Board's penalty powers take full effect at the end of the transition period.
